报告称，2015年股票市场经历了较大的异常波动，上市公司的并购重组受到了高估值、高对价的影响，出现了部分公司终止或暂定并购活动的现象。由于缺乏可靠的估值参考体系，个别上市公司向新兴产业的跨界并购也受到了较大影响。并购重组形成的大额商誉，也给少数上市公司未来业绩带来较大的不确定性。2013至2015年间，深市上市公司的商誉总值分别为707亿元、1581亿元和3544亿元，2015年共有210家公司的商誉增长幅度超过100%。
而对于不符合意见稿有关规定的期货公司和子公司，监管层也将给予一年的过渡期，但在此期间不得新增资产管理业务规模。
